Shop Sense Terms of Service

These terms govern your use of the Shop Sense Chrome extension and the related licensing and writing services (together, “Shop Sense”), provided by Next Level Marketing (“we”, “us”). By installing or using Shop Sense you agree to these terms. If you are agreeing on behalf of a shop or business, you confirm you have authority to bind it.

We grant you a limited, non-exclusive, non-transferable, revocable licence to install and use Shop Sense for your own shop's internal business purposes, for as long as your licence is active and in good standing.

Licences are issued per shop and are bound to your Tekmetric shop identifier. A licence key is confidential to your shop. You may not share, resell, sublicense, or transfer it, and you may not use Shop Sense on behalf of a shop it was not licensed to.

• Reverse engineer, decompile, or disassemble Shop Sense, or attempt to derive its source code, except where that restriction is prohibited by law
• Circumvent, disable, or interfere with licensing, rate limiting, or any other security or access control
• Resell, rent, or offer Shop Sense as a service to third parties
• Use Shop Sense to violate any law, or to violate your own agreement with Tekmetric or any other third party
• Use automated means to send volumes of requests beyond ordinary use by a working service department

Shop Sense operates on top of Tekmetric using your own Tekmetric account and session. We are not affiliated with, endorsed by, or sponsored by Tekmetric, Carfax, or OpenAI, and all trademarks belong to their respective owners. You are responsible for ensuring your use of Shop Sense is consistent with your agreements with those providers. If Tekmetric changes its application, some Shop Sense features may stop working until we adapt, and we do not guarantee ongoing compatibility.

Shop Sense uses an AI model to expand and rewrite technician notes into customer-facing inspection findings. AI output can be wrong, incomplete, or misleading.

Every AI-generated finding must be reviewed by a qualified person before it is saved or shown to a customer. Shop Sense presents a confirmation step for this reason. You are solely responsible for the accuracy of what your shop records and communicates, including any repair recommendation, safety assessment, or estimate.

Shop Sense is a writing and prioritisation aid. It is not a diagnostic tool and does not provide professional, safety, or legal advice.

Our handling of data is described in the Shop Sense Privacy Policy, which forms part of these terms. As between you and us, your shop's repair order, vehicle, and customer data remains yours. You grant us only the limited permission needed to process it in order to provide the features you use.

Fees, billing period, and any minimum term are set out in the separate order form or written agreement between us. Unless that agreement says otherwise, fees are non-refundable once a billing period has begun, and either party may decline to renew at the end of a billing period. If a payment is not made when due, we may suspend the licence after notice to you.

Shop Sense, including the extension, its services, and all related intellectual property, remains our property. These terms grant a licence to use it and transfer no ownership. Feedback you send us may be used to improve Shop Sense without obligation to you.

Shop Sense is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that Shop Sense will be uninterrupted, error free, or that its output will be accurate or complete.

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to Shop Sense. Our total aggregate liability arising out of or relating to Shop Sense will not exceed the amounts you paid us for Shop Sense in the twelve months before the event giving rise to the claim.

You will defend and indemnify us against third-party claims arising from your use of Shop Sense in breach of these terms, your breach of an agreement with Tekmetric or another provider, or content your shop published that was derived from Shop Sense output without adequate review.

You may stop using Shop Sense at any time by removing the extension. We may suspend or terminate your licence if you materially breach these terms, if payment is overdue, or if continued operation would put us or a third party at legal risk. On termination your licence ends and the extension will stop unlocking.

We may update these terms. We will change the date at the top and, for material changes, give you reasonable notice. Continuing to use Shop Sense after a change takes effect means you accept the updated terms.

These terms, together with the Privacy Policy and any order form, are the entire agreement between us regarding Shop Sense. They are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of laws rules, and the state and federal courts located in Virginia will have exclusive jurisdiction. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it.
